CONTEST/PARTICIPANTS Rules and Regulations

OPEN TO ANYONE 21+ AGE AND LEGAL RESIDENT OF THE USA


Participants register online at www.onthetownriddles.com.

Once registered: Participant will receive a registration number confirmation.  Participants must retain and present this confirmation/registration number to submit an answer to the riddle and receive the grand prize. 

On the first day of the event registered participants will receive a list of locations they must visit to obtain clues called “Clue Keeper Locations” or they will receive their riddle clues.

If applicable: Clues from Clue Keeper Locations may lead them to other locations, provide parts to the riddle or lead them to other tasks they must accomplish to complete and solve the 3 MONTH MYSTERY CONTEST. All participants provide their own transportation and traveling expenses for any and all  portions of the contest.

Once a registered participant is ready to submit their answer(or any time they would like before the deadline), they can log into the website (www.onthetownriddles.com) and submit their ONE TIME ONLY answer on the Answer Submittal Page along with their registration number.

Participants with correct submitted answers before the entry deadline will be collected and placed into a pool for a chance to win the “Grand Prize”.  If the Contest includes a point system, a winner with the correct answer and the most earned points will be determined from the competition points.

If applicable: Participants added to the winners pool will then be invited to a private Grand Finale event via email.  A series of knowledge/riddle contests at the event will determine the winner of the “Grand Prize” if there are more than one correct answers submitted within the dates of submittal.

If applicable: Participants with correct answers will need to provide all the riddle/clue cards from the hunt as well as their registration confirmation sheet.  Qualifying participants who can not make the final event will not qualify to win the grand prize.  

Participants in the winners circle that do not win the “Grand Prize” may receive exit gifts.

Participants with wrong submitted answers before the answer entry deadline will receive a discount certificate to participate in the next proceeding On The Town Riddles LLC experience close to their geographical location.

On The Town Riddles LLC does not promote driving motor vehicles while drinking alcohol or intoxicated and suggests that when participants travel between any locations that a designated driver be present, and/or public transportation is utilized.

 - ON THE TOWN RIDDLES LLC


All Competition entries and participation are subject to these Official Competition 


Rules, Terms and Conditions (the "Agreement") made by ON THE TOWN RIDDLES 


LLC, are made expressly subject to these terms and conditions. You, by purchase of 


an entry, registration as a Competitor, or other entry or otherwise participating in the 


Competition or Competition s offered by ON THE TOWN RIDDLES LLC, denote your 


acceptance of these Terms and Conditions of Sale (“Agreement”). The terms "You", 


“Your”, “Competitor” or “Entrant(s)” means you the original registrant or entrant of an 


entry to the Competition:


1. PROMOTER. The promoter of this Competition is: ON THE TOWN RIDDLES LLC 


whose registered office is at 310 Albany, Ferndale, MI 48220.


2. COMPETITION ENTRY DATES: Competition start date & time and end date & time 


are as outlined in website posting (“Competition Entry Period”).


3. ENTRY. There may be an entry fee necessary when registering to enter this 


competition. To enter, You must follow directions as outlined in the website posting. 


Instructions for emailing and/or registering and posting comments are included on 


www.onthetownriddles.com. All entries must be received by date and time outlined 


in website blog posting. For purposes of these Official Rules, “receipt” of Entry occurs 


when ON THE TOWN RIDDLES LLC’s servers record the Entry information resulting 


from Competitors’ entry being received in the inbox and/or Comments area. Any 


automated computer receipt (such as one confirming delivery of email) does not 


constitute proof of actual receipt by ON THE TOWN RIDDLES LLC. ON THE TOWN 


RIDDLES LLC reserves the right to disqualify any Entry for any reason, in its sole and 


absolute discretion. 


4. WHO MAY ENTER. Competition is only open to U.S. legal residents 18 years or 


older with valid email address. When entering the Competition, an opportunity to sign 


up to receive follow-up information from ON THE TOWN RIDDLES and its advertisers 


may be available. Entrants subject to all notices posted online including but not limited 


to Privacy Policy and Terms of Use. Employees of ON THE TOWN RIDDLES or their 


family members or anyone else connected in any way with the competition or helping 


to set up the competition shall not be permitted to enter the competition. Employees 


and their immediate families (spouse, parent, child, sibling and their respective spouses, 


regardless of where they reside) or those living in the same household (whether or 


not related) of ON THE TOWN RIDDLES LLC, and their respective parents, affiliates, 


subsidiaries, prize suppliers, distributors and advertising and promotion agencies 


(collectively, “Competition Parties”) are not eligible to enter or win. Competitors may 


need to provide proof of residency upon request.


5. COMPETITION OBJECTIVE: The objective of the Competition is as outlined in 


website posting: www.onthetownriddles.com.


6. ENTRY SUBMITTAL AND ASSOCIATED CONDITIONS. ON THE TOWN RIDDLES 


LLC and Competition Parties and their respective officers, directors, agents, 


representatives, and employees (collectively, “Released Parties”) are not responsible 


for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or 


delayed answer Entries; all of which will be void. Released Parties are also not 


responsible for problems related to technical malfunctions of electronic equipment, 


computer online systems, servers, or providers, computer hardware or software failures, 


phone lines, failure of any Entry to be received by ON THE TOWN RIDDLES LLC on 


account of technical problems, traffic, congestion on the internet or the website, or for 


any other technical problems including telecommunication, miscommunication or failure, 


and failed, lost, delayed, incomplete, garbled, or misdirected communications which 


may limit a Competitor’s ability to participate in this Competition. Released Parties are 


not responsible for any other errors or malfunctions of any kind, whether network, 


printing, typographical, human or otherwise relating to or in connection with the 


Competition, including, without limitation, errors or malfunctions with may occur in 


connection with the administration of the Competition, the processing or judging of 


Entries, the announcement of the prize or in any Competition-related materials. Mass 


entries generated by a script, macro or use of automated devices will be disqualified. 


ON THE TOWN RIDDLES LLC reserves the right to modify, suspend or terminate the 


Competition in the event it suffers a data breach, becomes infected by a computer virus 


or is otherwise technically impaired, and to cancel or suspend the Competition in its 


entirety should tampering, unauthorized intervention, fraud, technical failures or other 


causes corrupt the administration, security, fairness, integrity or proper play of the 


Competition and, if terminated, at ON THE TOWN RIDDLES LLC’s discretion, 


determine the Winner using all non-suspect, eligible entries received up to time of 


cancellation using the judging procedure outlined above. In the event of a dispute 


regarding entries received from multiple users having the same email account, the 


authorized subscriber of the email account at the time of Entry will be deemed to be the 


Competitor and must comply with these Official Rules. Authorized subscriber is the 


natural person who is assigned the email address by the Internet Service Provider 


(ISP), online service provider, or other organization responsible for assigning email 


addresses. ON THE TOWN RIDDLES LLC reserves the right at its sole discretion to 


disqualify any individual (and void his/her Entries) it finds to be tampering with the Entry 


process or the operation of this Competition or website, intending to annoy, abuse, 


threaten or harass any other Competitor, ON THE TOWN RIDDLES LLC, or any of its 


representatives or to otherwise be acting in violation of these Official Rules. CAUTION: 


Any attempt by a Competitor to deliberately damage any website or undermine the 


legitimate operations of the Competition is a violation of criminal and civil laws. Should 


such an attempt be made, ON THE TOWN RIDDLES LLC reserves the right to seek 


damages from any such Competitor to the fullest extent permitted by the law and to 


disqualify such Competitor from the Competition.


7. MISCELLANEOUS CONDITIONS. Failure to comply with these Official Rules may 


result in Your disqualification from the Competition. ON THE TOWN RIDDLES LLC 


reserves the right to permanently disqualify any person it believes has intentionally 


violated these Official Rules. Competition is subject to all federal, state and local laws 


and regulations. Entry to the competition and all associated benefits and prizes are void 


where prohibited by law.


8. CANCELLATION AND FORCE MAJEURE. ON THE TOWN RIDDLES LLC reserves 


the right to cancel or amend the competition and these terms and conditions without 


notice and will not be deemed to be in default or otherwise responsible for delays and 


failures in performance resulting from acts of God; acts of war or civil disturbance; 


delays in shipping; epidemics; governmental action or inaction; fires; earthquakes; 


unavailability of labor, materials, power, or communication; or anticipated breach of any 


applicable law or regulation; or other causes beyond ON THE TOWN RIDDLES LLC’s 


control. Any changes to the competition will be notified to entrants as soon as possible 


by ON THE TOWN RIDDLES LLC. 


9. THIRD PARTY INFORMATION. ON THE TOWN RIDDLES LLC is not responsible 


for inaccurate prize or competition details supplied to any entrant by any third party 


connected with this competition.


10. ALTERNATIVE PRIZES. No alternative to the prizes will be offered. The prizes are 


not transferable. Prizes are subject to availability and we reserve the right to substitute 


any prize with another of equivalent value without giving notice.


11. WINNER ELIGIBILITY. A winner will be eligible: 


• I. By having the correct answer to the riddle submitted by a valid registered participant 


within the submittal dates of March 15, 2015 and April 15, 2015. Answer submittal 


must be done on the www.onthetownriddles.com website and include valid registration 


number. Correct answers will be revealed/provided by ON THE TOWN RIDDLES 


LLC from all entries received and verified by Promoter and or its agents by May 


13, 2015. Answers that are submitted but not received by ON THE TOWN RIDDLES 


LLC because of any type of error will not be eligible. Participants will receive email 


confirmation that their answer submittal has been accepted correctly.


• II. TIES: In event of a tie, Winner will be determined based on a final tie breaker 


competition hosted by ON THE TOWN RIDDLES LLC at a location to be determined 


at a later date. Participants who submit the correct answer verified by ON THE TOWN 


RIDDLES LLC and or its agents may be subjected to compete for the final grand prize 


winner position if more than one participant submits the correct answer. ON THE 


TOWN RIDDLES LLC will host and conduct a riddle format competition for qualifying 


participants with the correct answer to determine a final winner of the Competition 


within 28 days of the end of the submittal period. Participants for the final Competition 


MUST BE THE REGISTERED PARTICIPANT that matches the correct answer 


submittal and provide a valid drivers license, state ID or U.S. Passport to prevent 


cheating. Participant must be present at final Competition to win grand prize if a final 


Competition becomes necessary.


• III. At no time will a winner be selected by random drawing.


• IV. If NO VALID CORRECT ANSWER is submitted within the submittal period, ON 


THE TOWN RIDDLES LLC will donate the grand prize to the grand prize of its next 


Competition to be held within 12 months. If no Competition is held within 12 months 


after this Competition concludes and no winner has been defined, ON THE TOWN 


RIDDLES LLC will donate the prize to a non-profit charity of its choice within 2 years 


of the end of the Competition .


12. WINNER NOTIFICATION. The winner will be notified by email and/or letter within 28 


days of the closing date. If the winner cannot be contacted or does not claim the prize 


within 14 days of notification, ON THE TOWN RIDDLES reserves the right to withdraw 


the prize from the winner and add the grand prize winnings to the grand prize of the 


next Competition conducted by ON THE TOWN RIDDLES LLC.


• I. PRIZE & APPROXIMATE RETAIL VALUE (“ARV”): Number of winners, prize 


and ARV as outlined in website blog posting. Winner is solely responsible for all 


expenses, costs or fees associated with transportation and acceptance and/or use 


of the prize not specified herein as being awarded, including without limitation, any 


and all taxes (if any). Winner is not a recipient of a prize until s/he has been verified 


as the Winner by ON THE TOWN RIDDLES LLC or judges. Upon fulfilling prize, ON 


THE TOWN RIDDLES LLC will be deemed to have awarded the prize to the Winner 


and such Winner assumes full responsibility for the prize. All prize details are at ON 


THE TOWN RIDDLES LLC sole discretion.


• II. Entrants acknowledge that transportation, if applicable, is not included in 


the prize and that any events are beyond the control of ON THE TOWN RIDDLES 


LLC and are subject to being rescheduled, modified or cancelled. In that event, 


ON THE TOWN RIDDLES LLC reserves the right to, at its discretion, reschedule 


the Competition, entry and/or end dates, modify the entry procedures, cancel the 


Competition, or cancel the awarding of ticket(s).


• III. ON THE TOWN RIDDLES LLC will notify the winner when and where the 


prize can be collected.


13. DECISION FINAL. ON THE TOWN RIDDLES LLC decision in respect of all matters 


to do with the competition will be final and no correspondence will be entered into.


14. AGREEMENT TO BE BOUND. By entering this competition, an entrant is 


indicating his/her agreement to be bound by these terms and conditions. Entry into the 


competition will be deemed as acceptance of these terms and conditions.


15. GOVERNING LAW. This agreement shall be subject to and governed by the laws 


of the State of Michigan. Should for any reason the arbitration clause of this Agreement 


be declared invalid, You agree that any claim or dispute arising out of or related to 


this agreement is to be brought exclusively in the appropriate State Court located in 


Oakland County, Michigan. You agree to submit to such jurisdiction and that such 


jurisdiction is convenient.


16. PUBLICITY RELEASE AND PERMISSION FOR PROMOTION. Winning constitutes 


permission (except where prohibited by law) to use Winner’s name, images, hometown, 


likeness, prize won, and photograph (all at ON THE TOWN RIDDLES’ discretion) for 


future advertising, publicity in any and all media now or hereafter devised throughout 


the world in perpetuity, without additional compensation, notification or permission. The 


winner agrees to the use of his/her name and image in any publicity material. ON THE 


TOWN RIDDLES will not sell or provide any personal data to any third party without the 


entrant’s prior consent. By entering in this Competition, Competition participants agree 


to ON THE TOWN RIDDLES LLC’s use of their personal information and likeness for 


both online and offline direct marketing purposes. For details and to opt-out, visit ON

17. VERIFICATION OF WINNER. The winner’s name will be available 28 days after 


closing date and will be posted on www.onthetownriddles.com for 6 months. Requests 


for winners name can be submitted by contacting ON THE TOWN RIDDLES LLC at 


www.onthetownriddles.com/contactus.


18. ARBITRATION & CHOICE OF LAW: Except where prohibited by law, as a 


condition of participating in this Competition, Competitor agrees that (1) any and all 


disputes and causes of action arising out of or connected with this Competition, or any 


prizes awarded, shall be resolved individually, without resort to any form of class action 


lawsuit, and exclusively by final and binding arbitration under the rules of the American 


Arbitration Association and held at the AAA regional office nearest to Ferndale, 


Michigan; (2) the Federal Arbitration Act shall govern the interpretation, enforcement 


and all proceedings at such arbitration; and (3) judgment upon such arbitration award 


may be entered in any court having jurisdiction. Under no circumstances will Competitor 


be permitted to obtain awards for, and Competitor hereby waives all rights to claim, 


punitive, incidental or consequential damages, or any other damages, including 


attorneys’ fees, other than Competitor’s actual out-of-pocket expenses (i.e., costs 


associated with entering this Competition ), and Competitor further waives all rights 


to have damages multiplied or increased. All issues and questions concerning the 


construction, validity, interpretation and enforceability of these Official Rules, or the 


rights and obligations of Competitors and ON THE TOWN RIDDLES LLC in connection 


with this Competition, shall be governed by, and construed in accordance with, the 


substantive laws of the State of Michigan, USA without regard to Michigan choice of law 


19. SAFE AND SOBER DRIVING PRACTICES REQUIRED. ON THE TOWN 


RIDDLES LLC promotes safe driving practices in compliance and accordance with 


all laws of the State of Michigan for operating a motorized vehicle. ON THE TOWN 


RIDDLES LLC requires as a condition of entry that all participants refrain from driving 


under the influence of alcohol or any illegal controlled substances while participating 


in the Competition. Transportation for this Competition will be necessary. The use of 


public transportation and/or a designated licensed operator not under the influence of 


alcohol or any substance that may impair driving is required to participate in all aspects 


of this Competition. ON THE TOWN RIDDLES LLC will not be held responsible for 


any travel expenses related or not related to any of its Competition s. ON THE TOWN 


RIDDLES LLC will not be held responsible or accountable for any incidence pertaining 


to the violation of any traffic laws or public disorder that any participant becomes 


involved in during the duration of this or any Competition that ON THE TOWN RIDDLES 


LLC promotes. 


20. RELEASE AND WAIVER OF LIABILITY. BY ENTERING THIS COMPETITION, 


ENTRANT, FOR THEMSELVES AND THEIR HEIRS, AGENTS AND ASSIGNS 


THEIR HEIRS AND ASSIGNS HEREBY RELEASES, WAIVES, DISCHARGES, 


HOLDS HARMLESS AND COVENANTS NOT TO SUE ON THE TOWN RIDDLES 


LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, INSTRUCTORS, 


AND AGENTS (THE “RELEASEES”) FROM ALL LIABILITY TO THE ENTRANT 


AND THEIR AGENTS, ASSIGNS, HEIRS, AND NEXT OF KIN FOR ANY LOSS 


OR DAMAGES, AND ANY CLAIM OR DEMANDS THEREEFORE ON ACCOUNT 


OF INJURY TO THE PERSON OR PROPERTY OR RESULTING IN DEATH OR 


INJURY OF THE ENTRANT, WHETHER CAUSED BY NEGLIGENCE OF THE 


RELEASEES OR OTHERWISE WHILE THE UNDERSIGNED IS PARTICIPATING IN 


ANY COMPETITION AFFILIATED WITH ON THE TOWN RIDDLES LLC. ENTRANT 


UNDERSTANDS AND ACCEPTS THAT THIS WAIVER IS TO BE CONSTRUED AS 


BROADLY AS POSSIBLE AND TO RELEASE THE RELEASEES FROM LIABILITY TO 


THE GREATEST EXTENT PERMITTED BY LAW.


21. WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY. ON THE 


TOWN RIDDLES LLC MAKES NO EXPRESS WARRANTIES RELATED TO THE 


COMPETITION EXCEPT FOR THOSE SPECIFICALLY CONTAINED IN THIS 


AGREEMENT, IF ANY. NO OTHER STATEMENT OR REPRESENTATION SHALL 


BE CONSIDERED AS A PART OF THE BASIS OF THE BARGAIN BETWEEN ON 


THE TOWN RIDDLES LLC AND YOU. ON THE TOWN RIDDLES LLC EXPRESSLY 


DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO, 


ANY WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR 


USE OR PURPOSE, OR ARISING BY STATUTE OR OTHERWISE IN LAW OR 


FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF 


TRADE. THE TOTAL LIABILITY, IF ANY, OF ON THE TOWN RIDDLES LLC AND 


THAT OF ITS OFFICERS, MEMBERS, DIRECTORS, SHAREHOLDERS, AGENTS 


AND EMPLOYEES TO ENTRANT FOR DAMAGES WITH RESPECT TO THIS 


AGREEMENT AND THE COMPETITION SHALL NOT EXCEED THE ENTRANT’S 


ENTRY FEE FOR THE COMPETITION . IN NO EVENT SHALL ON THE TOWN 


RIDDLES LLC, ITS OFFICERS, MEMBERS, DIRECTORS, SHAREHOLDERS, 


AGENTS, AND EMPLOYEES HAVE ANY LIABILITY FOR PUNITIVE, EXEMPLARY, 


INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING WITHOUT 


LIMITATION, ECONOMIC DAMAGES, LOST PROFITS OR REVENUES. THE 


LIMITATIONS AND EXCLUSIONS IN THIS PARAGRAPH SHALL APPLY TO ALL 


CLAIMS OF EVERY NATURE, KIND AND DESCRIPTION, WHETHER ARISING 


FROM BREACH OF CONTRACT, BREACH OF WARRANTY, STRICT LIABILITY, 


NEGLIGENCE OR OTHER TORT, OR OTHERWISE. DAMAGES AS LIMITED BY 


THIS PARAGRAPH IS ENTRANT'S SOLE AND EXCLUSIVE REMEDY IN THE EVENT 


THAT ANY OTHER REMEDY PROVIDED IN THIS AGREEMENT FAILS OF ITS 


ESSENTIAL PURPOSE.


22. MODIFICATION AND WAIVER. No waiver or modification of this Agreement will be 


valid unless it is in writing and signed by ON THE TOWN RIDDLES LLC. Furthermore, 


any waiver by either party of any breach of any provision of this contract shall not 


operate or be construed as a waiver of any subsequent breach.


23. ASSIGNMENT OR DELEGATION. You may not assign or delegate this Agreement 


or any of your rights hereunder without the express written consent of On The Town 


Riddles LLC, which can be withheld at our sole discretion.


24. RELATIONSHIP OF THE PARTIES. Nothing contained in this Agreement shall 


be construed as creating any agency, partnership, joint venture or employment 


relationship.


25. LEGAL EXPENSES: In the event of any suit instituted by either party against the 


other in any way connected with this Agreement, the party who receives judgment or 


arbitration award in their favor, shall recover from the other party reasonable attorney's 


fees and actual court costs in connection with said suit.


26. THIRD PARTY BENEFICIARIES. This Agreement will not confer any rights 


or remedies on any third party, other than the parties to this Agreement and their 


respective successors and permitted assigns.


27. TITLES. Titles and headings to articles, sections, or paragraphs in this Agreement 


are inserted for convenience of reference only and are not intended to effect the 


interpretation or construction of the agreement.


28. AGREEMENT TO GOVERN. Any purchases and Competition entries by You are 


governed by this Agreement and this Agreement shall prevail over any contrary or 


inconsistent terms contained in any communication or document of either party, unless 


expressly incorporated herein on the face of this Agreement.


29. SEVERABILITY. If any provision, paragraph or subparagraph of this Agreement 


is adjudicated by any Court to be void and unenforceable in whole or in part, such 


adjudication shall not be deemed to affect the validity of the remainder of the 


Agreement, including any other provision, paragraph or subparagraph. Each provision, 


paragraph or subparagraph of the Agreement is declared to be separable from each 


other provision, paragraph or subparagraph and constitutes a separate, distinct 


covenant.


30. COMPLETE UNDERSTANDING. This Agreement constitutes the entire Agreement 


between the parties with respect to the subject matter hereof. This Agreement 


supersedes any and all other agreements, whether oral or in writing, between the 


parties with respect to the subject matter hereof...
